Making It Up As They Go Along

Mr. Wittenberg-

I read with great interest your recent article in the Sun Messenger concerning Peter Rubin dba The Coral Company and the development at Cedar Center. A few things have come to mind:

At what point in time did this project become a public / private partnership? At the time the original concept of eminent domain was presented to the public, the Cedar Center redevelopment did not include tens of millions of taxpayer dollars. When did that change? Why did the public not get the opportunity to weigh in on that decision? Please review the information presented at the following link:

The original “Development Agreement” between South Euclid and The Coral Company expired in January 2009. It does not have any clause which allows for an automatic renewal or extension of the contract. Has there been a new or revised contract signed? Here is a link to the original agreement:

A number of fascinating questions have been raised concerning Cuyahoga County and the public money being used for the Medical Mart. Those questions are valid for the Cedar Center venture also:

  • Who will provide oversight for the project?
  • How will the public keep track of how its money is spent?
  • How can the City choose to partner with The Coral Company without public bidding?

The Cleveland Heights/University Heights School District has not yet agreed to the $14 million TIF proposal. According to my sources, the City of South Euclid has extended the deadline for CHUH to render a decision until the end of this calendar year. Any public statements made by either South Euclid or Peter Rubin regarding the commencement of construction prior to the approval of the TIF proposal by CHUH would appear premature, inaccurate and misleading.

What will be the financial result if CHUH does not agree to the TIF proposal?

CAPS GUY: A link has been added to this post which gives information regarding “TIF” or “Tax Increment Financing.” The City of SE and The Coral Company have made the proposal to the Cleveland Heights / University Heights School District. Cedar Center is in the CHUH taxing district. It boils down to this: CHUH School District foregoes collecting $14 million in property tax money from the Cedar Center shopping center for the next 30 years with the promise of increased property value and supposedly more money to collect from the property taxes 30 years from now. In the meantime, you the taxpayer pays off the $14 million “loan” for the next 30 years in lieu of the tax money going to the CHUH School District. How will the taxpayers of CHUH view this scenario when in fact their School District is actively seeking budget cuts? When 30 years rolls around, there is no guarantee that this “new and improved” shopping center won’t be considered and declared “blighted”, dilapidated, outdated or obsolete causing our children’s elected officials to take it over via the threat of eminent domain. All this to defray the costs to the developer. A fascinating scenario, don’t you think?

Oh and CAPS GUY, one more thing- another absurd aspect of the situation is this: How is it that the City of South Euclid entered into a development agreement with Coral, when the major sources of funding were based on the PRESUMPTION that CHUH School District would pass on $14 million….? AND….also assume that the Cuyahoga County Port Authority would automatically play a significant roll and provide financing assistance…..? How is it possible to enter into a “development agreement” based on a totally unsecured set of financial circumstances which may or may not actually come to fruition? And to toss in just one more peculiar twist to the whole thing: The Port Authority passed a resolution to deemphasize their investment in suburban retail projects due to the oversaturated situation. Reference links will be added soon to support the previous. Thanks again for paying attention to what’s going on.

Of course Rubin wants to redefine the original plan: the strip mall business model is effectively dead.

The bankruptcy of General Growth Properties (owner of Beachwood Place) last week all but signaled the next phase of the financial crisis that the smart money has known about for three years now: commercial real estate.

The wise sages at City Hall need to explain to us how, at a time when deflationary pressures are eliminating disposable income, when we already have all of the Wal-Marts, Home Depots and Starbucks we can, that we need *more* commercial real estate?

According to the CNN link below: "In just the first quarter of 2009, retail tenants at these centers have vacated 8.7 million square feet of commercial space". Re-read that: IN THE FIRST QUARTER OF 2009. That 8.7 million in the January - March period is more than all of 2008 combined!

Lest anyone think that this demand will come back - think again. Examine the expansion plans for the Fortune 500, 250 and 100 companies in America: they've all been scaled back significantly to, in the words of Texas Instruments' CEO, "A new, lower baseline" of consumption.

The question that now must be asked is this: what will be the new plan, and how much will SE be liable for funding? My guess is that Rubin has done the math and determined that this project will not make money - more to the point, in an up economy he could have built the project and then sold it off quickly at a profit to someone else. Today he doesn't have that option, and better for him: he has an escape clause in the form of the present 'agreement' which expires in about a week.

So, what goes up in its place? Apartments? No demand for housing. Green space? Would be nice - but not for $20 million. A significantly scaled back strip mall? Possibly.

More likely? Nothing for the next three years at a minimum, five years as a best guess. All the while the city will be losing out on tax revenue (apriori - what was it, around $400,000 per year?), plus repayment on a $20 million bond which will most likely see its interest rate adjust up when bondholders hear that a) the city finances are tightening, and b) the original development project has fallen through.

I would bet that within the next 60 days we'll know the ultimate fate of this project under Peter Rubin and what his revised terms will be. My guess is that they'll be none too good for the city and its residents.

Has anyone questioned the following sentence on page 4 of the January South Euclid update. The Subject and Title of the article is "Cedar Center Revitalizaton"

The sentence is (emphasis mine): "The moving forward process includes approval of the TAX INCREMENT FINANCING AGREEMENT TO PAY FOR PUBLIC IMPROVEMENTS ON THE SITE ... "

My question is: Who approves the tax increment agreement?????
